Todopi Legal
Terms of Service
Effective: 2026-07-30
These Terms of Service (“Terms”) govern your use of Todopi (the “Service”), provided by MAKASETE, Inc. (“we,” “us,” or “our”).
By using the Service, you agree to these Terms and the Privacy Policy. The Paid Service Terms also apply to a paid plan.
1. Accounts
The Service creates an anonymous account on first use. You may link Apple or Google. You are responsible for your devices, credentials, and account and must promptly notify us of suspected unauthorized use.
Switching to a credential already used by another account may, after confirmation, make the anonymous account data inaccessible. A minor or other person who requires a legal representative’s consent must obtain it before use.
2. Personal and Shared Workspaces
- A Personal Workspace is ordinarily used only by its owner.
- Starting an invitation from a Personal Workspace converts it to a Shared Workspace while preserving its tasks. This conversion cannot be reversed.
- Owners and Members of a Shared Workspace may view and edit content within their permissions. Apple or Google linking and a confirmed display name are required to create or accept an invitation.
- A Workspace Owner is responsible for appropriately managing invitees, members, permissions, and shared information.
3. User content
You represent that you have the rights needed for tasks, comments, attachments, avatars, and other content you submit (“User Content”) and that it complies with law and these Terms.
You or the relevant owner retain rights in User Content. You grant us a non-exclusive license to use it only as needed to operate, synchronize, store, transform, deliver, back up, troubleshoot, and improve the Service.
User Content posted to a Shared Workspace is shared with its members. Content needed by other members may remain in the Workspace after you leave.
4. Prohibited conduct
- Violating law, public policy, these Terms, or third-party rights
- Submitting unlawful, harmful, discriminatory, threatening, obscene, fraudulent, or infringing content
- Impersonation, unauthorized Workspace access, or misuse of invitations or credentials
- Disruption, excessive load, automated abuse, vulnerability probing, or bypassing access controls
- Reverse engineering except to the extent expressly permitted by applicable law
- Conduct that harms us or another person, or that we reasonably determine is inappropriate
5. Changes and availability
We may change, suspend, or discontinue all or part of the Service for maintenance, security, incidents, legal or store requirements, business needs, or another reasonable reason. Where practicable, we will give advance notice of material effects.
6. Restriction and suspension
We may restrict or suspend use after notice if you violate these Terms, create a security risk, misuse the Service, fail to pay, or if action is reasonably required by law or to protect the Service. We may omit advance notice in an emergency or when notice would be inappropriate.
7. Account deletion
You can initiate account deletion from the account settings in the app. If you cannot use the app, sign in at https://todopi.app/en/account-deletion with the same Apple or Google account linked to Todopi. We verify the Firebase ID token and process deletion in light of law, other members’ rights, shared content, and retention duties.
Deleting the app or requesting account deletion does not cancel a store subscription. You must cancel through the App Store or Google Play.
8. Intellectual property
The Service, software, interfaces, text, marks, and other materials we provide are owned by us or their rightful owners. Except for User Content, these Terms do not transfer rights beyond the limited right to use the Service.
9. Disclaimers
The Service is provided as is. We do not warrant accuracy, completeness, fitness for a particular purpose, uninterrupted availability, or freedom from errors or data loss. Consider keeping appropriate copies of important information. This does not exclude warranties that applicable law does not permit us to exclude.
10. Limitation of liability
Where loss is attributable to us, we are liable for ordinary and direct loss, but not special, indirect, or lost-profit damages regardless of foreseeability. This limitation does not apply to our intentional misconduct or gross negligence, or where the Consumer Contract Act or other applicable law prohibits it.
11. Changes to these Terms
We may amend these Terms in accordance with law when the amendment is consistent with the Service’s purpose and reasonable in light of its necessity and effect. We will announce material amendments and their effective date in the Service or on our website.
12. Governing law, jurisdiction, and language
Japanese law governs these Terms. Unless applicable law requires otherwise, the Tokyo District Court has exclusive jurisdiction at first instance. If the Japanese and English versions conflict, the Japanese version controls to the extent permitted by law.
